Aerogroove Limited ("Aerogroove “, "aero-groove.com", "we", "our" or "us"), provides access to the aero-groove.com website, at the URL www.aero-groove.com and related URLs (the "Website"), and all current and future services, software and data accessed via the Website, including the Aerogroove API (the "Services"). The Website and the Services are referred to together in these Terms & Conditions as the "Site".

These Terms & Conditions govern your use of the Site. They apply solely to the Site and not to any other website or any offline activities of Aerogroove (unless stated).

This Site allows users to publish information and comments, and comment on the information or comments of other users (the “Information Services”) and allows users to upload and publish audio and other multimedia files, and comment on those files uploaded by other users (the “Multimedia Services). You agree neither to modify the Site in any manner or form, nor to use modified versions of the Site, including, without limitation, for the purpose of obtaining unauthorized access to the Site
You may not impersonate others or assume any false identity through our Site in a manner that is intended to or does mislead or confuse others.
You may not use our Site or the Site Services for unlawful purposes or for promotion of dangerous or illegal activities.
You may not spam or transmit malware or viruses.
You may not use the Site or Site Services for any commercial use.
You may not use or launch any automated system, including without limitation, "robots", "spiders" or "offline readers" that accesses the Site in a manner that sends more request messages to Aerogroove servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, Aerogroove grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. Aerogroove reserves the right to revoke these exceptions either generally or in specific cases.
You may not use this Site in any manner that could damage, disable, overburden, or impair any Site or interfere with any other party's use and enjoyment of any Site.
You may not attempt to gain unauthorized access to any Site, other accounts, computer systems or networks connected to any Site, through hacking, password mining or any other means.
You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through this Site.

User Content

Aerogroove claims no ownership or control over any User Content that you or we upload or publish for you. You or a third party licensor, as appropriate, retain all patent, trademark and copyright to any User Content you upload or publish and you are responsible for protecting those rights, as appropriate. By uploading or publishing User Content, you grant to Aerogroove a worldwide, perpetual, irrevocable non-exclusive, royalty-free, sub licensable and transferable license to reproduce, publish and distribute such User Content on our Site, any other website owned by Aerogroove, or any other website that Aerogroove chooses. Aerogroove reserves the right to delete, remove, and refuse to accept, post, display or transmit any User Content in our sole discretion. Your User Content is not confidential and Aerogroove has no obligation as to maintaining the confidentiality of any User Content, including your direct correspondence to the Aerogroove.

User Content is not provided by us. We have no obligation to monitor User Content and we take no responsibility for the User Content. We provide access to the User Content as an optional service to you.

User Content may carry offensive, harmful, inaccurate or otherwise inappropriate material, or in some cases, postings that have been mislabeled or are otherwise deceptive. We expect that you will use caution and common sense and exercise proper judgment when viewing such User Content. Is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner or are permitted by law to post the material and to grant Aerogroove all of the license rights granted herein.

Is pornographic or obscene, or that promotes pedophilia, incest, or bestiality.

Promotes hate toward groups based on race or ethnic origin, religion, disability, gender, age, veteran status, sexual orientation, or gender identity.

Contains or promotes direct threats of violence against any person or group of people.

Termination Policy

We reserve the right to decide whether User Content is appropriate and complies with these Terms of Use for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. We may remove such User Content or terminate a registered user's account at any time, without prior notice and at our sole discretion. Cause for termination includes, without limitation, breaches or violations of these Terms of Use or other Site guidelines, requests by law enforcement or other government agencies, a request by you, unexpected technical or security issues or problems, and extended periods of inactivity. You agree that any termination of your access to this Site or the Site Services or any portion thereof may be effected without prior notice, and you agree that Aerogroove is not liable to you or any third-party for any such termination. THE PLATFORM, INCLUDING, WITHOUT LIMITATION, ALL CONTENT, SOFTWARE, AND FUNCTIONS MADE AVAILABLE ON OR ACCESSED THROUGH OR SENT FROM THE WEBSITE, ARE PROVIDED "AS IS," "AS AVAILABLE, " AND "WITH ALL FAULTS." Disclaimers/Limitation of Liability

WITHOUT LIMITATION OF ANYTHING ELSE SET FORTH IN THESE TERMS & CONDITIONS, YOU UNDERSTAND AND AGREE THAT AEROGROOVE FURTHER LIMITS ITS LIABILITY IN CONNECTION WITH YOUR USE OF THE PLATFORM AS SET FORTH BELOW: UNDER NO CIRCUMSTANCES SHALL AEROGROOVE, ITS SUBSIDIARIES, OR AFFILIATES OR THE DIRECTORS, OFFICERS, EMPLOYEES, OR ANY OTHER REPRESENTATIVES OF EACH OF THEM (COLLECTIVELY, THE "AEROGROOVE ENTITIES AND INDIVIDUALS") BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, ECONOMIC, PUNITIVE, OR CONSEQUENTIAL DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO (1) THE PLATFORM, THE CONTENT, OR YOUR USER SUBMISSIONS; (2) THE USE OF, INABILITY TO USE, OR PERFORMANCE OF THE PLATFORM OR ANY OF THE CONTENT OR FEATURES THEREON; (3) ANY ACTION TAKEN IN CONNECTION WITH AN INVESTIGATION BY AEROGROOVE OR LAW ENFORCEMENT AUTHORITIES REGARDING YOUR USE OF THE PLATFORM OR CONTENT; (4) ANY ACTION TAKEN IN CONNECTION WITH COPYRIGHT OWNERS AND/OR COPYRIGHT INFRINGEMENT; (5) ANY ERRORS OR OMISSIONS IN THE PLATFORM'S TECHNICAL OPERATION, EVEN IF FORESEEABLE OR EVEN IF THE AEROGROOVE ENTITIES AND INDIVIDUALS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, STRICT LIABILITY TORT (INCLUDING, WITHOUT LIMITATION, WHETHER CAUSED IN WHOLE OR IN PART BY NEGLIGENCE, ACTS OF GOD, TELECOMMUNICATIONS FAILURE, OR THEFT OR DESTRUCTION OF THE PLATFORM). NOTHING IN THESE TERMS & CONDITIONS LIMITS OR EXCLUDES AEROGROOVE'S LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY ITS PROVEN NEGLIGENCE; (B) THE TORT OF DECEIT; OR (C) ANY LIABILITY WHICH CANNOT BE LIMITED OR EXCLUDED BY LAW.

IF ANY OF THESE TERMS & CONDITIONS ARE DETERMINED TO BE ILLEGAL, INVALID OR OTHERWISE UNENFORCEABLE BY REASON OF THE LAWS OF ANY STATE OR COUNTRY IN WHICH THESE TERMS & CONDITIONS ARE INTENDED TO BE EFFECTIVE, THEN TO THE EXTENT AND WITHIN THE JURISDICTION IN WHICH THAT TERM IS ILLEGAL, INVALID OR UNENFORCEABLE, IT SHALL BE SEVERED AND DELETED FROM THESE TERMS & CONDITIONS AND THE REMAINING TERMS SHALL SURVIVE AND CONTINUE TO BE BINDING AND ENFORCEABLE.

THE AEROGROOVE ENTITIES AND INDIVIDUALS ARE NOT RESPONSIBLE FOR ANY DAMAGE TO ANY USER'S COMPUTER, HARDWARE, COMPUTER SOFTWARE, OR OTHER EQUIPMENT OR TECHNOLOGY INCLUDING, WITHOUT LIMITATION, DAMAGE FROM ANY SECURITY BREACH OR FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION. YOUR ACCESS TO AND USE OF THIS THE PLATFORM IS AT YOUR RISK. Indemnity

You agree to defend, indemnify, and hold Aerogroove and its employees, representatives, agents, attorneys, affiliates, directors, officers, managers, and shareholders (collectively, the “Indemnified Parties”) harmless from any damage, loss, or expense (including attorneys’ fees and costs) incurred in connection with any third-party claim, demand, or action (“Claim”) brought or asserted against any of the Indemnified Parties: (a) alleging facts or circumstances that would constitute a breach of any provision of these Terms of Use by you; (b) arising from or related to your use of the Site or the Site Services; or (c) arising from or related to your User Content. You may not settle any Claim without the consent of Aerogroove.

Miscellaneous

Unless otherwise stated, any other rules, restrictions, guidelines and terms and conditions that may be posted or made available in connection with a particular feature on the Website or Service are incorporated by this reference into these Terms & Conditions.

You are solely responsible for compliance with applicable laws, rules, and regulations in connection with your use of the Platform and the Content, including, without limitation, those governing your transmission or use of any software or data.

These Terms & Conditions and any applicable end user license or similar agreements contain the sole and entire agreement between Aerogroove and its users with respect to the Platform, the Content and User Submissions and supersedes any and all other prior written or oral agreements between Aerogroove and its users. If any provision of these Terms & Conditions shall be held invalid or unenforceable by any court of competent jurisdiction or as a result of future legislative action, such holding or action shall be strictly construed and shall not affect the validity or effect of any other provision of these Terms & Conditions. No waiver on the part of Aerogroove of any of these Terms & Conditions will be of any force or effect unless made in writing and signed by a duly authorized officer of Aerogroove. Nothing in these Terms & Conditions are intended to confer on any third party (whether referred to in the Terms & Conditions by name, class, description or otherwise) any benefit or any right under any legislation in any country to enforce any provisions of these Terms & Conditions.
